As the role of the Assistant Company Secretary, your responsibility is the provision of Company Secretarial services across the Group.

What you will do:

Plc related responsibilities

  • Manage the upload to Diligent of the Treasury Committee papers for each meeting
  • Assist with the collection of Board and Committee (Nomination and Governance, Audit, Remuneration and Disclosure) papers and the upload to Diligent
  • Assist with the drafting of key sections in the Annual Report and Accounts and being responsible for the delivery of certain governance sections
  • Assist with the arrangements for the Annual General Meeting (including AGM packs for the Directors)
  • Maintain the major shareholder register and release Stock Exchange announcements as required
  • Maintain the Company’s insider list under the Market Abuse Regulations, Directors’ conflicts of interest register and Group structure charts
  • Deal with all routine Stock Exchange announcements and FCA notifications as and when required
  • Manage the relationship with the Registrars

Subsidiary management

  • Deliver in the capacity of Company Secretary of a variety of active, semi-dormant and dormant Group entities (including filing of annual accounts, confirmation statements and Director changes)
  • Manage the liquidation process for companies (if required)

Share plan administration

  • Manage all aspects of the all-employee share plans on a day to day basis
  • Support the Senior Assistant Company Secretary as required with the executive share plans

Departmental matters

  • Ad hoc departmental projects and learn new areas as they arise
  • Assume responsibilities of Senior Assistant Company Secretary during absence or illness etc. (cover/continuity/disaster planning)
  • Manage the CoSec emails inbox, ensuring emails are forwarded on and responded to as appropriate
  • Maintain the department’s Business Continuity Plan
  • Ensure that the Company Secretariat pages on inHouse (corporate intranet) and the external corporate (Taylor Wimpey plc) website are up to date

What you will have:

  • Listed experience (preferably in a FTSE 100 or 250 organisation)
  • Organised approach to ensure statutory and regulatory obligations are met in a timely fashion across a large number of Group entities
  • Effective management, communication and service development skills, to manage external service providers
  • Good communication skills and ability to work with other TW Departments and external service providers
